1. General
1.1. By entering into the "Bites for Bikes" promotion ("Promotion"), you agree to have accepted these Terms and Conditions. These Terms and Conditions apply to New
Zealand entrants only. A separate promotion is conducted in Australia under separate
terms and conditions.
1.2. The Promoter is Seriously Healthy Limited (NZBN9429042160854), of Chapmans Chartered Accountants, 80b Level 1, Northwest Shopping Centre, 7 Fred Taylor Drive,Westgate, Auckland 0814, New Zealand ("the Promoter"), in partnership with Cooly
Bikes ("the Co-sponsor").
1.3. All times stated in these Terms and Conditions are in New Zealand Time (NZT).
1.4. These Terms and Conditions are governed by the laws of New Zealand, and each
entrant submits to the non-exclusive jurisdiction of New Zealand. Nothing in these
Terms and Conditions limits any statutory rights entrants may have under the Fair
Trading Act 1986 or the Consumer Guarantees Act 1993.

2. Eligibility
2.1. To be eligible to win, entrants must:
(a) be a resident of New Zealand. This promotion is not open to residents of any other
country;
(b) be 18 years of age or older at the time of entry;(c) hold a valid, public Instagram
account at the time of entry and at the time of the draw. Private accounts cannot be
verified and will not be counted. Each entrant may enter using one (1) Instagram
account only and may hold only the entries permitted under clause 4.4;
(d) not be:
(i) an employee, director, officer, or contractor of the Promoter or Cooly Bikes; or
(ii) a spouse, de facto, partner, parent, child, step-child, step-parent, grandparent, or
sibling, whether by birth, adoption, or marriage, of any person identified at clause
2.1(d)(i);
(e) be following the Instagram accounts of both @coolybikes and @seriouslyhealthy
at the time of entry and at the time of the draw;
(f) not enter using a story or reel that is an invalid entry under clause 5 of these Terms
and Conditions; and
(g) otherwise comply with these Terms and Conditions.
2.2. The Promoter reserves the right to verify the identity, age, and eligibility of any
entrant or winner, including by requiring the entrant or winner to provide proof of
identity, age, country of residence, residential address, or any other eligibility
requirement. The Promoter may disqualify any entrant or winner that does not comply
with a direction to furnish information within 5 days of a request made under this
clause, or that the Promoter otherwise reasonably believes has not complied with these
Terms and Conditions.
2.3. If a prize has been awarded on the basis of an invalid entry, then the Promoter may
require the return of the prize or payment of its value.

3. Promotion Period
3.1. Entries may be submitted from 8:00pm NZT on Friday, 25 September 2026 until
2:00pm NZT on Thursday, 22 October 2026 ("Promotion Period").
3.2. No entries will be accepted after the Promotion Period closes. Entries are deemed
received at the time they are posted to Instagram, not at the time of transmission by the
entrant.
3.3. The Promoter may only vary the Promotion Period where it is required or permitted
to do so by law, or where a variation is reasonably necessary as a result of an event (or
events) outside of the Promoter’s reasonable control. Any variation will take effect from
the time that notice is published on the Promoter's Instagram page and will not affect
the validity of eligible entries already received.

4. How to Enter
4.1. Primary entry — To enter, an eligible entrant must, during the Promotion Period:
(a) post one (1) Instagram Story or Instagram Reel from a public account, featuring a
packet of Serious Fruit Choc Bites, and such story or reel must remain public at all
times until the winners are drawn;
(b) tag both @coolybikes and @seriouslyhealthy in the content; and
(c) be following both accounts at the time of the draw.
Each eligible entrant may submit a maximum of one (1) primary entry for the entire
Promotion Period. The Serious Fruit Choc Bites do not have to have been purchased
during the Promotion Period.
4.2. Bonus entry — an entrant who has already submitted a valid primary entry may
earn one (1) additional entry by:
(a) resharing the official Bites for Bikes campaign launch post (published by
@seriouslyhealthy and @coolybikes on 25 September 2026) to their Instagram Story;
(b) tag both accounts in that story; and
(c) maintaining following status for both at the time of the draw.
Each eligible entrant may submit a maximum of one (1) bonus entry per entrant,
regardless of how many times the post is reshared.
4.3. Instagram Stories expire after 24 hours. The Promoter will monitor and log Story
entries daily during the Promotion Period. If the entry is made by posting an Instagram
story, then the story must be available for the full 24 hours. A Story entry remains valid
after expiry provided it met all requirements at the time it was posted. If an entry is
made by posting an Instagram reel, then the content must remain posted until the final
draw is conducted, and the winner has been announced.
4.4. The maximum number of entries any one person may hold across the entire
Promotion Period is two (2): one (1) primary entry and one (1) bonus entry.
4.5. By participating in this Promotion, entrants acknowledge full acceptance of these
Terms and Conditions and warrant that their entry:
(a) does not contain any material that is libellous, defamatory, pornographic, profane, or
obscene;
(b) does not infringe any third party's intellectual property or other rights;
(c) is compliant with Instagram’s terms of use and community guidelines;
(d) is not misleading or deceptive;
(e) must not imply that the Promoter, Cooly Bikes, or any other third party endorses the
entrant;
(f) is their own original content, and they hold all necessary rights and licences to it;
(g) they have obtained the consent of all person(s) appearing in the entry; and
(h) the entry is otherwise complaint with all applicable laws.
4.6. Each entrant indemnifies the Promoter, Cooly Bikes, and their respective related
bodies corporate, employees, agents, and contractors, against any claim, loss, liability,
cost, or expense arising from a breach of these warranties.

5. Invalid Entries
5.1. An entry will not be counted if each of the eligibility requirements set out at clause 2
are not satisfied.
5.2. Entries will not be counted if the entry is generated by bots or automated or
purchased engagement.
5.3. The Promoter will determine the validity of entries acting reasonably and its
decision on validity is final subject to any rights an entrant has at law. If we determine
that your entry is invalid, we will notify you and give you a reasonable opportunity to
demonstrate (to our reasonable satisfaction) why your entry is valid, and we may
reinstate your entry having regard to any material provided by you, at our reasonable
discretion.

6. The Prize
6.1. This Promotion comprises one draw open exclusively to New Zealand residents.
There is one (1) prize: a Cooly Bikes Double Up e-bike (Black), valued at $2,499 NZD.
6.2. The prize is not transferable, exchangeable, or redeemable for cash. The prize
must be taken as offered and cannot be varied at the request of the winner.
6.3. If the specific bike model or colour becomes unavailable for reasons beyond the
Promoter's or Cooly Bikes' control, the Promoter reserves the right to substitute the
prize with one of equal or greater value.
6.4. The prize is for the e-bike only. Registration, accessories, and any ongoing costs
including servicing, insurance, and maintenance are the winner's responsibility. The
prize does not include a helmet, lock, insurance, registration, or any other accessory.
The winner must not modify the e-bike or its battery, motor or charger, and
acknowledges that doing so may render it unroadworthy and void any warranty.
6.5. The winner is responsible for using the e-bike safely and in accordance with local
road rules and helmet laws. The winner acknowledges that they use the prize at their
own risk, that they are responsible for satisfying themselves that the e-bike may lawfully
be used in New Zealand, that they must wear an approved helmet, and that they must
not permit the e-bike to be used by any person not legally permitted to do so.
6.6. Cooly Bikes' standard 1-year warranty applies from the date of delivery. Cooly
Bikes is the supplier of the prize. All warranty claims, and any claim under the consumer
guarantees in the Fair Trading Act 1986 or Consumer Guarantees Act 1993 in respect of
the prize, must be directed to Cooly Bikes. Nothing in these Terms and Conditions
excludes, restricts or modifies any consumer guarantee or other right that cannot
lawfully be excluded.

7. Winner Selection and Notification
7.1. The draw will be conducted using a third-party random name generator
on Thursday, 29 October 2026.
7.2. Winners will be notified via Instagram Direct Message on Friday, 30 October 2026.
The winner must provide a valid email address and contact telephone number on
request. Results will be announced on the social media channels of both
@seriouslyhealthy and @coolybikes the same day.
7.3. Winners have 14 days from the date of notification to respond, claim their prize,
and provide the details we reasonably require to deliver the prize. If there is no response
within this period, the prize will be forfeited and one (1) redraw will take place on 13
November 2026 from remaining valid entries in the applicable draw, on the same terms.
The Promoter will publish the details of any redraw winner in the same manner as the
original manner.
7.4. The Promoter reserves the right to verify a winner's age and eligibility before
awarding the prize. If a winner cannot be verified or is found ineligible, the prize will be
forfeited and a redraw will occur.
7.5. By entering, you agree that, in the event you are the winner, your first name, city or
town of residence may be published on the Promoter's and Cooly Bikes' social media
channels for winner announcement purposes, without further compensation.

8. Prize Delivery
8.1. Delivery is to a valid residential or business address only — no P.O. Boxes.
8.2. For the New Zealand winner, standard freight is covered.
8.3. Prizes will be delivered within approximately 21 business days of the winner
confirming their delivery details. Risk in the prize passes to the winner upon delivery.
Delivery timeframes are estimates only. The Promoter is not liable for any delay caused
by events outside of its control. The winner must be available to take delivery at the
nominated address and must inspect the prize on delivery and report any damage
within 48 hours.

9. Content Use and Privacy
9.1. By entering, each entrant grants the Promoter and Cooly Bikes a perpetual, nonexclusive, royalty-free, worldwide, irrevocable, and sublicensable licence to use,
reproduce, adapt, publish, communicate, repost, and reuse their entry content (in
whole or in part, and in any media, including paid advertising) across social media,
website, and marketing materials, without further approval, notice, or compensation.
9.2. The Promoter collects personal information for the purpose of administering the
Promotion and delivering the prize, in accordance with the Information Privacy
Principles under the Privacy Act 2020.
9.3. We may share your personal information that we collect in connection with the
Promotion with third parties, including with Cooly Bikes or as otherwise contemplated
under these Terms and Conditions, for the purpose of administering the Promotion and
delivering the prize.

10. General
10.1. This Promotion is in no way sponsored, endorsed, administered by, or associated
with Meta Platforms, Inc® or Instagram. Entrants release Meta Platforms, Inc® from any
liability in connection with this Promotion. Any information provided to the Promoter by
an entrant in connection with this Promotion is provided to the Promoter and not to
Meta Platforms Inc®.
10.2. To the extent permitted by law, the Promoter reserves the right (subject to any
directions from a regulator) to cancel, suspend, amend, or terminate the Promotion or
these Terms and Conditions at any time due to fraud, technical failure, or
circumstances beyond its reasonable control. The Promoter may award the prize by an
alternative method that is fair and reasonable in the circumstances. Any such action
will be published on the Promoter’s Instagram page and website.
10.3. Nothing in these Terms and Conditions excludes, restricts, or modifies any right or
remedy that cannot be lawfully excluded, restricted, or modified. Subject to any rights
that cannot be excluded under the Fair Trading Act 1986 or Consumer Guarantees Act
1993, the Promoter, Cooly Bikes, their employees and agents, and Meta Platforms, Inc®
will not be liable for any loss, damage, or injury arising directly or indirectly from this
Promotion or the prize. To the extent permitted by law, each entrant releases the
Promoter and Cooly Bikes, and their respective related bodies corporate, employees,
contractors, and agents, and Meta Platforms Inc®, from all liability for any loss, damage,
cost, expense, or personal injury arising directly or indirectly from the Promotion, the
prize, or the use of the prize. The Promoter’s total liability in connection with the
Promotion us limited to the retail value of the prize. No party is liable for any indirect or
consequential loss.
10.4. The Promoter will make decisions regarding all conduct of the Promotion acting
reasonably and in good faith. Those decisions are final and binding, subject to any right
an entrant has at law.
10.5. The Promoter may disqualify any entrant who, in the Promoter’s reasonable
opinion, tampers with the entry process, engages in conduct that is unlawful, abusive,
offensive, or damaging to the reputation of the Promoter or Cooly Bikes, or otherwise
breaches these Terms and Conditions.
10.6. The winner is responsible for any tax consequences arising from winning the prize
and should obtain their own independent advice. The Promoter does not provide
taxation advice.
10.7. Entrants may not assign or transfer their entry or any rights under these Terms and
Conditions.
10.8 If any provision of these Terms and Conditions is found to be invalid or
unenforceable, it is to be read down or severed to the extent necessary, and the
remaining provisions continue in full force.
10.9. These terms set out the entire terms of the Promotion.
